By accessing or using the Adapt Standard website (adaptstandard.co) and any services provided through it, you agree to be bound by these Terms of Use. If you do not agree to these terms, please do not use our website or services.
2. Services
Adapt Standard provides professional web design, development, and related digital services. All services are subject to separate agreements, statements of work, or proposals that will outline the specific scope, deliverables, timelines, and pricing for each project. These Terms of Use govern your use of our website; individual project engagements are governed by their respective agreements.
Results Disclaimer. Website performance, search engine rankings, and conversion rates depend on numerous factors outside our control, including but not limited to search engine algorithms, market conditions, industry competition, third-party platform changes, and the quality and relevance of client-supplied content, products, and services. Adapt Standard makes no guarantees, warranties, or representations regarding any specific ranking position, traffic level, conversion rate, revenue outcome, or other business result. Any statements or examples of past performance are illustrative only and do not constitute a promise or guarantee of future results for any client.
3. Intellectual Property
All content on this website — including but not limited to text, graphics, logos, images, design elements, code, and the overall look and feel — is the intellectual property of Adapt Standard unless otherwise noted. You may not reproduce, distribute, modify, or create derivative works from any content on this website without our prior written consent.
Upon full payment for services, clients receive ownership of the final deliverables as specified in their project agreement. Adapt Standard retains the right to display completed work in our portfolio unless otherwise agreed in writing.
4. User Conduct
When using our website or submitting information through our contact form, you agree not to: submit false or misleading information; use the website for any unlawful purpose; attempt to gain unauthorized access to any part of the website; or interfere with the proper functioning of the website in any way.
5. Limitation of Liability
Adapt Standard provides this website and its content on an "as is" basis. While we strive for accuracy, we make no warranties or representations regarding the completeness, accuracy, or availability of the website or its content. To the fullest extent permitted by law, Adapt Standard shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of or inability to use this website.
6. Indemnification
You agree to indemnify, defend, and hold harmless Adapt Standard, its owners, employees, contractors, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the website, your violation of these Terms of Use, or your violation of any third-party rights.
7. Dispute Resolution
Any dispute, claim, or controversy arising out of or relating to these Terms of Use, our website, or our services shall be resolved as follows:
- Informal Resolution. The parties shall first attempt to resolve any dispute informally through good-faith negotiations. The complaining party shall provide written notice to the other party describing the nature of the dispute and the desired resolution. The parties shall have thirty (30) days from receipt of such notice to resolve the dispute amicably.
- Mediation. If the dispute cannot be resolved through informal negotiations within the thirty (30) day period, the parties agree to submit the dispute to mediation administered by a mutually agreed-upon mediator in Polk County, Florida. The parties shall share equally in the costs of mediation.
- Binding Arbitration. If mediation does not resolve the dispute within sixty (60) days of its commencement, the dispute shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Polk County, Florida, by a single arbitrator mutually selected by the parties. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction.
- Exceptions. Either party may seek injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of that party's intellectual property rights or confidential information, without first engaging in the informal resolution, mediation, or arbitration processes described above.
- Class Action Waiver. All disputes shall be resolved on an individual basis only. You expressly waive any right to participate in a class action, class-wide arbitration, or any other representative or consolidated proceeding against Adapt Standard.
8. Governing Law & Venue
These Terms of Use and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.
For any legal action or proceeding not subject to the arbitration provision in Section 7, the parties hereby irrevocably consent to the exclusive jurisdiction and venue of the state and federal courts located in Polk County, Florida. You waive any objection to venue in Polk County, Florida, including any objection based on forum non conveniens.
9. Third-Party Links
Our website may contain links to third-party websites or services that are not owned or controlled by Adapt Standard. We assume no responsibility for the content, privacy policies, or practices of any third-party websites. You acknowledge and agree that Adapt Standard shall not be liable for any damage or loss caused by your use of any third-party content or services.
10. Termination
We reserve the right to terminate or suspend your access to our website at any time, without prior notice, for conduct that we believe violates these Terms of Use or is harmful to Adapt Standard, other users, or third parties.
11. Severability
If any provision of these Terms of Use is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect.
12. Entire Agreement
These Terms of Use, together with our Privacy Policy, constitute the entire agreement between you and Adapt Standard regarding your use of our website and supersede all prior agreements and understandings, whether written or oral.
13. Changes to Terms
